By registering for or attending any event hosted by Build Out Alliance, Inc., you (including all heirs, executors, or administrators) agree to the following terms:

1. Photography/Videography Release

   You consent to the use of your likeness in photographs and videos taken during the event (the “Images”). You hereby irrevocably permit, authorize, and grant Build Out Alliance, Inc., its partners, and assignees the right to use, re-use, publish, and re-publish the Images, either separately or together, in whole or in part, for any purpose whatsoever including, without limitation, advertising, promotion, and other commercial and business purposes, in perpetuity throughout the world, and in any medium, format, or platform now existing or hereafter created without further consent from or any royalty or other compensation to You.  You hereby specifically consent to the use of the Images with other images, text, graphics, film, audio, and audiovisual works.  You acknowledge and agree that the Images may be altered or modified without any restrictions, whether by traditional photographic techniques or digitally, including retouching, creating composite, blurred, or distorted representations, and changing color, size, shape, perspective, context, foreground, or background.  Build Out Alliance, Inc. is and shall remain the exclusive owner of all rights in and to the Images.
   
   To the fullest extent permitted by applicable law, You irrevocably waive all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages, and expenses, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy (including intrusion, false light, public disclosure of private facts, and misappropriation of name or likeness), violation of rights of publicity, physical or emotional injury or distress, or any similar claim or cause of action in tort, contract, or any other legal theory, now known or hereafter known in any jurisdiction throughout the world arising directly or indirectly from Build Out Alliance, Inc.’s exercise of its rights under this Agreement or the production, exhibition, advertising, promotion, exploitation, or other use of the Images. Build Out Alliance, Inc., its partners, and assignees may use such media for promotional purposes without compensation or the need for further approval.

2. Age Requirement

   Attendance is limited to persons 21 years of age or older. By registering for an event, you hereby certify and affirm that you are at least 21 years of age.

3. Refunds

   If this is a paid event, refunds are not guaranteed. They may be provided at Build Out Alliance, Inc.'s sole discretion, based on the specific circumstances of the request.

4. Personal Information

   You agree that your personal information may be shared with event partners, sponsors, or third-party vendors for event-related purposes only. Build Out Alliance, Inc. will not sell or monetize your information.

5. Email Communication

   By registering for an event, you consent to be automatically added to Build Out Alliance, Inc.’s email newsletter list. You understand that you will receive event updates and marketing communications from Build Out Alliance, Inc. You may unsubscribe from these communications at any time by following the opt-out instructions included in the emails.

6. Third-Party Views

   The views of speakers, sponsors, or exhibitors do not represent the views of Build Out Alliance, Inc., and the organization is not responsible for any statements or materials presented by third parties.

7. Code of Conduct

   You agree to behave respectfully and professionally. Discriminatory or harassing behavior will not be tolerated and may result in removal from the event without refund.

8. Event Cancellation

   Build Out Alliance, Inc. reserves the right to cancel or postpone the event due to unforeseen circumstances. No liability will be assumed for costs or damages incurred due to cancellations, and refunds are at the organization's discretion.

9. Registration on Behalf of Another

   If you are registering on behalf of another person or group of persons, you warrant that you have the authority to do so. You further agree that you are responsible for ensuring that each attendee is made aware of and agrees to these terms and conditions. By registering, you assume full responsibility for communicating the terms and conditions to the attendee(s) and for any claims or disputes arising from their participation.

10. Voluntary Participation

    You agree that you have voluntarily agreed to attend the event hosted by Build Out Alliance, Inc. 

11. Waiver of Liability

    You agree that Build Out Alliance, Inc. has not undertaken any duty or responsibility for your safety, and you agree to assume the full responsibility for all risk of bodily injury and property damage as a result of participating in the event hosted by Build Out Alliance, Inc. You acknowledge that participation in an event may involve risks. By attending, you voluntarily assume these risks, and hereby release Build Out Alliance, Inc., its members, directors, officers, employees, volunteers and other agents, from all liability for any injury or damages incurred during the event, whether arising from negligence or otherwise. 

12. Run/Walk Liability Waiver

    If you are participating in run and/or walk event, you acknowledge and agree to the following: (i) Running and/or walking a road race is a potentially hazardous activity; (ii) you are medically able and property trained to participate in an event; (iii) you agree to abide by the rules and regulations of the event and by any decision of a race official relative to your ability to safely complete the run/walk; (iv) you assume all risks associated with participating in an event including, but not limited to falls, contact with other participants, the effects of weather, including high humidity, traffic and the conditions of the road, all such risks being known and appreciated by you. You agree that Build Out Alliance, Inc. has not undertaken any duty or responsibility for your safety. To the fullest extent permitted by law, you hereby waive and release Build Out Alliance, Inc. and any and all persons, sponsors and entities, their representatives and successors from any and all liability or responsibility for injuries and/or property damage which you may sustain during the event or during your travel to or from the event. 

13. Injury Resulting from Your Acts

    You agree that injuries or losses to others may occur as a result of your negligent or intentional acts during your participation in the event, and upon the occurrence of these injuries or losses, you accept liability for and repair, or make reparations for, the harm done.

14. No Reliance on Oral Representations

    You represent that you are not relying on any oral representations, statements or inducement by Build Out Alliance, Inc. in signing this agreement, apart from the statements made on this form.

15. Governing Law

    These terms and conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. By registering for an event, you agree that any dispute arising from or relating to these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York, regardless of the location of the event.

16. Consideration

    This waiver and release is given in consideration of acceptance of your registration/entry into the event. 

17. Indemnification

    To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless Build Out Alliance, Inc., its members, directors, officers, employees, volunteers and other agents, from any and all potential or actual claims, causes of action, injury or damage arising from or in any way relating to your participation in the event, or the participation of any guests that you bring to the event.
